- Working with a company to determine whether M&A activities can add (or have added) value to the execution of company strategy

- Advising on the engagement of and helping to manage (and/or working with) key external advisors:
- investment banks;
- legal;
- financial/accounting; and
- tax
- Working with a company and external advisors to establish the optimum corporate, commercial, financial and tax structure for a transaction
- Analysing commercial issues that impact a deal (such as pre-emption)
- Co-ordinating the development of a deal risk register
- Establishing a negotiations strategy and negotiations parameters for all key commercial and legal issues
- Establishing the right governance structure for the period between signing and closing of a deal
- Helping to understand any regulatory and other third-party issues, as well as minimum external approval requirements and time periods for any deal
- Working with company Legal, IR and PR to understand the disclosure requirements and market reaction on any deal (e.g., analyst metrics), as well as establishing a communications strategy and helping in the development of press releases
